Terms of service

Plain-language terms. The signed supplier agreement takes precedence for suppliers.

1. Who we are

  1. 1.1

    The Service is operated by Rackloom, 458, 1st floor Tilak Nagar, Indore 452018 (M.P.), India ("Rackloom", "we", "us").

  2. 1.2

    These terms govern your use of the Rackloom website, the supplier console, the renter waitlist and the public API. By creating an account or using the Service you agree to them. If you do not agree, do not use the Service.

2. Definitions

  1. 2.1

    Service: the Rackloom website, supplier console, renter waitlist, public API and the systems we use to test, set up and run machines.

  2. 2.2

    Supplier: a person or business that lists GPU machines on Rackloom. Renter: a person or business that rents GPU capacity through Rackloom.

  3. 2.3

    Machine: a server with one or more GPUs that a supplier adds to Rackloom. Access key: the Rackloom public key a supplier adds to a machine so we can test and set it up.

  4. 2.4

    Idle pay: the amount paid per GPU per hour while a listed GPU is idle. Rental income: the supplier's share of the rental price for hours a GPU is rented.

  5. 2.5

    Supplier agreement: the agreement a supplier accepts during onboarding and receives by email with their approval.

3. Eligibility and accounts

  1. 3.1

    You must be at least 18 and able to enter a binding contract. If you use the Service for a business, you confirm you are authorised to accept these terms for it.

  2. 3.2

    Give accurate information when you sign up and during onboarding, and keep it up to date.

  3. 3.3

    Keep your sign-in details secure. You are responsible for everything done under your account. Tell us straight away at support@rackloom.in if you think someone else has accessed it.

  4. 3.4

    One person or business may not use accounts to get around a suspension or a limit we have applied.

4. The supplier service

  1. 4.1

    You may only list machines you own or are authorised to make available.

  2. 4.2

    To add a machine you give us its public IP address or host name, SSH port and SSH user, and add the Rackloom access key to it. We then run an automated machine test.

  3. 4.3

    Every machine is reviewed before it goes live. After approval we set the machine up remotely using the same access key, and it goes live.

  4. 4.4

    By default Rackloom prices every machine automatically to follow the market. Suppliers may instead set their own price within the limits shown in the console.

  5. 4.5

    Suppliers earn idle pay and rental income described in the supplier terms summary. The supplier agreement sets the binding terms and takes precedence over this page for suppliers.

5. Renter access

  1. 5.1

    Rentals open to people on the waitlist first. Joining the waitlist does not guarantee access, a date or a price.

  2. 5.2

    Rental prices follow the market, within the limits the network sets for each GPU.

  3. 5.3

    You are responsible for the workloads and data you run on rented capacity and for having the rights to use them.

6. Fees and payments

  1. 6.1

    Idle pay and rental income are counted per GPU-hour at the rates shown in the console when the hours accrue, and confirmed on your payout statement.

  2. 6.2

    Payouts are made monthly, by bank transfer or in USDT (TRC20 / ERC20), USDC (Base / Solana) or BTC, to the payout method on file. Make sure your payout details are correct; payments sent to details you gave us are treated as paid.

  3. 6.3

    You are responsible for the taxes that apply to your income or purchases.

  4. 6.4

    If we pay an amount in error, we may correct it on a later statement.

7. Rates and estimates

  1. 7.1

    Prices, rates, market figures and earnings shown on the website are live estimates. They change with the market and are not guaranteed.

  2. 7.2

    We do not promise any level of demand, number of rentals or income. Only the rates in your supplier agreement and payout statements are binding.

8. Acceptable use

  1. 8.1

    Do not use the Service for anything unlawful, to attack or probe other systems, to send spam or malware, or to infringe anyone's rights.

  2. 8.2

    Do not interfere with the Service, try to get around its security or rate limits, or access accounts, machines or data that are not yours.

  3. 8.3

    We may remove content or pause capacity that breaches this section.

9. Security and access to supplier machines

  1. 9.1

    Suppliers give Rackloom access to a machine only by adding our public access key. We never ask for your passwords or private keys.

  2. 9.2

    We use that access to test, set up and keep the machine running on Rackloom. Keep the machine reachable with the access key while it is listed.

  3. 9.3

    Suppliers must not access, copy or interfere with a renter's workloads or data on their machines.

  4. 9.4

    Renters must not try to reach the supplier's machine beyond the capacity they rented.

10. Suspension and termination

  1. 10.1

    We may pause capacity that fails health checks, and suspend or close accounts that breach these terms or the law.

  2. 10.2

    You may close your account by emailing support@rackloom.in. Suppliers must give at least 7 days' notice before withdrawing capacity that has an active rental; a rented machine is never removed mid-rental.

  3. 10.3

    Deactivating a machine removes it from the network and stops its rewards. Amounts earned before then are handled under your supplier agreement.

  4. 10.4

    Sections that by their nature should continue after termination (including fees owed, intellectual property, disclaimers, limitation of liability, indemnity and governing law) continue to apply.

11. Intellectual property

  1. 11.1

    Rackloom owns the Service, including its software, design and brand. These terms do not give you any rights in them beyond using the Service.

  2. 11.2

    You keep ownership of your hardware and your data. You allow us to use the information you give us to run the Service, and to include your capacity in market figures that do not identify you.

12. Public API

  1. 12.1

    The public API (for example /api/v1/market) is provided as-is for information.

  2. 12.2

    We may change endpoints, apply rate limits or withdraw access at any time.

13. Disclaimers

  1. 13.1

    The Service is provided "as is" and "as available". To the extent the law allows, we make no promises that it will be uninterrupted, error-free or fit for a particular purpose.

  2. 13.2

    Market data comes from live sources and may be delayed, incomplete or wrong.

14. Limitation of liability

  1. 14.1

    To the fullest extent permitted by law, Rackloom is not liable for indirect or consequential loss, or for loss of profit, revenue, data or goodwill.

  2. 14.2

    Our total liability for any claim is limited to the amounts paid to you under the relevant supplier agreement in the three months before the claim.

  3. 14.3

    Nothing in these terms limits liability that cannot be limited by law.

15. Indemnity

  1. 15.1

    You will cover Rackloom for claims, losses and costs caused by your breach of these terms, your breach of the law, or the workloads, data, hardware or facility you are responsible for.

16. Changes to these terms

  1. 16.1

    We may update these terms. The new version is posted on this page with a new "Last updated" date. If you keep using the Service after that, the updated terms apply.

17. Governing law

  1. 17.1

    These terms are governed by the laws of India. Courts in Indore, Madhya Pradesh have exclusive jurisdiction.
